MTV2's Yule Be Bangin': 12 Days to Play Sweepstakes
1. No Purchase Necessary.
2. To enter: "MTV2's Yule Be Bangin': 12 Days to Play Sweepstakes" (the "Sweepstakes") will be posted on mtv2.com (the "Web Site"), a web site owned and controlled by the MTVi Group, L.P. ("MTVi"), starting at or around 6:00 a.m. (EST) on November 19, 2001 and ending at or around 10:00 a.m. (EST) on December 17, 2001. Participants must complete all required fields on the Sweepstakes entry form and return such entry form as directed (collectively, the "Eligible Entries") to be entered into a random drawing.
3. You may enter one time per day per person, but may win only one prize. If an
entrant uses multiple email addresses to submit more than one entry for a given day, only the first online entry for that day will count. No responsibility is assumed for incorrect or inaccurate entry information whether caused by a participant or by any of the equipment or programming associated with or utilized in this Sweepstakes or by any human error which may occur in the processing of the entries to this Sweepstakes. MTV Networks and The MTVi Group, L.P. (collectively "MTVN") are not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, failure of email or media on account of technical problems or traffic congestion on the internet or at any web site or combination thereof, including injury or damage to participants or to any other person's computer related to or resulting from participating or downloading materials in this Sweepstakes. If, for any reason, the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of MTVN which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, MTVN reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes due to any reason of a technical, creative or other nature in MTVN's sole discretion. Entries that have been tampered with or altered are void. In the event of a dispute over who submitted a winning entry online, the holder of the winning email account will be declared the winner. By participating in this Sweepstakes, entrants acknowledge compliance with these official rules.
4. Sweepstakes commences at 6:00 a.m. (EST) on November 19, 2001 and ends at 10:00 a.m. (EST) on December 17, 2001. All entries must be received by 10:00 a.m. (EST) on December 17, 2001.
5. One (1) grand prize package (the "Grand Prize") and twelve (12) first prize packages (the "First Prize(s)") will be awarded. The grand prize winner (the "Grand Prize Winner") will be chosen at random on or about December 18, 2001, from among all of the Eligible Entries received. If any potential Grand Prize Winner is unreachable during the 24 hours in which he or she is called (a minimum of 3 attempts will be made and no messages will be left on answering machines) or is unavailable for the prize fulfillment during the dates and times specified by MTVN or does not comply with the Sweepstakes rules and regulations, such potential Grand Prize Winner will be disqualified as a Grand Prize Winner of the "MTV2's Yule Be Bangin': 12 Days to Play Sweepstakes" and all privileges as a Grand Prize Winner will immediately be terminated. An alternate winner may be selected instead from among all of the remaining Eligible Entries. After the Grand Prize Winner (or alternate winner, if applicable) is chosen, the twelve (12) first prize winners (the "First Prize Winner(s)") will be chosen at random from among all of the remaining Eligible Entries. If any potential First Prize Winner is unreachable during the 24 hours in which he or she is called (a minimum of 3 attempts will be made and no messages will be left on answering machines) or is unavailable for the prize fulfillment during the dates and times specified by MTVN or does not comply with the Sweepstakes rules and regulations, such potential First Prize Winner will be disqualified as First Prize Winner of "MTV2's Yule Be Bangin': 12 Days to Play Sweepstakes" and all privileges as a First Prize Winner will immediately be terminated. An alternate winner may be selected instead from among all of the remaining Eligible Entries.
6. Odds of winning will be determined by the total number of Eligible Entries received.
7. The concept of this Sweepstakes and the prizes to be awarded include one (1) Grand Prize package and twelve (12) First Prize packages, as follows:
Grand Prize Package:
The Grand Prize package will consist of all twelve (12) First Prize options listed in section 7a below, items 1-12 (combined approximate retail value ("ARV") of $5,950); up to twelve (12) individual P.O.D. prizes ("P.O.D. Prizes") (combined ARV of up to $3,000), as determined in MTVN's and Band's sole and unequivocal discretion; and one (1) Nintendo Gamecube (ARV of $300). The Grand Prize package will also include designated members the band P.O.D. (the "Band") to deliver the prizes to Grand Prize Winner's place of residence, subject to each Band member's availability. The tentative date for the Grand Prize package fulfillment will be in March 2002, as determined in MTVN's and Atlantic's sole and unequivocal discretion, and based on the Band's schedule. The Grand Prize package has no cash equivalent and may not be redeemed for cash. The total ARV of the Grand Prize Package is $9,250. Some restrictions may apply.
First Prize Packages:
Each of the twelve (12) First Prize packages will consist of only one (1) of the following MTV2 prize items ("MTV2 Prize(s)") listed in section 7a, items #1-12 below; plus only one (1) P.O.D. Prize (ARV of up to $250), as determined in MTVN's and Band's sole and unequivocal discretion. All First Prize packages will be randomly assigned to each respective First Prize Winner in the order in which they are listed below, at MTVN's sole discretion.

11. Sony CD Walkman with Personal Travel Speakers (ARV of $300)
12. Irock 680 (ARV of $250)
The total ARV for all twelve (12) First Prize packages is $ 8,950. Any of the First Prize packages has no cash equivalent and may not be redeemed for cash.
The total ARV of this Sweepstakes is $18,200. Such ARV of the Grand Prize and/or any First Prize is subject to change based on the current market conditions at time of prize fulfillment.
8. By participating in this Sweepstakes, entrants agree to be bound by these rules and by the decisions of the judges, which are final in all matters relating to this Sweepstakes.
9. Arrangements for the fulfillment of the Grand Prize and the First Prizes will be made by MTVN and Atlantic Records. MTVN reserves the right in its sole discretion to substitute any and all prizes with prizes of comparable value; all prizes are non-transferable. The potential Grand Prize Winner and each potential First Prize Winner must sign (i) an affidavit of eligibility and release of MTVN, Viacom International, Inc., Columbia Broadcasting System ("CBS"), Atlantic Records ("Atlantic"), the Band, Band Management Company, Buena Vista Home Entertainment, and their corporate parents, subsidiaries, affiliated entities, advertising agencies, any and all participating sponsors, and their respective employees, from any and all liability, claims, demands, and causes of action for personal injury and/or damage, theft, loss, or any other harm suffered in connection with this Sweepstakes or the use or acceptance of the Grand Prize and/or any First Prize or any portion thereof to be eligible for the Grand Prize or First Prizes; and (ii) except where prohibited, a promotional release granting the right to use his or her name and likeness for advertising and publicity purposes without additional compensation. Entry into this Sweepstakes constitutes all winners' agreement to sign such releases. The winners must complete all legal documents and return them to MTVN within five (5) days after receipt of such documents. Noncompliance may result in disqualification. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT MTVN's SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS A PRIZE WINNER OF "MTV2'S YULE BE BANGIN': 12 DAYS TO PLAY SWEEPSTAKES" AND ALL PRIVILEGES AS A GRAND PRIZE WINNER OR FIRST PRIZE WINNER WILL BE IMMEDIATELY TERMINATED.
10. The value of the prizes may be taxable as income. Upon receipt of either the Grand Prize or one of the First Prizes, each winner will be required to comply with any and all applicable federal, state and local laws, rules and regulations. The Grand Prize Winner is solely responsible for all matters relating to the Grand Prize, including, but not limited to all applicable federal, state and local taxes that become due with respect to the Grand Prize. Each First Prize Winner is solely responsible for all matters relating to his/her respective First Prize, including, but not limited to all applicable federal, state and local taxes that become due with respect to such First Prize.
11. Sweepstakes is open to residing citizens of the continental U.S. at least 16 years of age at time of entry and who have an active online account on or before November 18, 2001. If Grand Prize Winner and/or any First Prize Winner is under the age of 18, such winner's parent or legal guardian must accept the prize on his/her behalf. The potential Grand Prize Winner and each potential First Prize Winner are expected to show proof of age in order to accept their respective prizes. Sweepstakes is not open to employees and/or their immediate families of MTV Networks, Viacom International, Inc., MTVi Group, L.P., CBS, Atlantic Records, the Band, Band Management Company, Buena Vista Home Entertainment, affiliated companies, subsidiaries, advertising agencies, any and all sponsors, or any person who has won an MTVN national Sweepstakes or Contest in the 2001 calendar year. Each prize winner is subject to proving eligibility. VOID IN ALASKA AND HAWAII AND WHEREVER PROHIBITED OR RESTRICTED BY LAW. All entries become the property of MTVN.
12. All interpretations of the rules and decisions by MTVN are final. MTVN reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the game or web site; to be acting in violation of the Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE GAME IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, MTVN RESERVES THE RIGHT IN ITS SOLE DISCRETION TO SEEK DAMAGES FROM ANY SUCH PARTICIPANT/INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE SWEEPSTAKES AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE SWEEPSTAKES. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THOSE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS.

14. The Grand Prize Winner and each First Prize Winner, by acceptance of their respective prizes, agrees that MTVN, Viacom International, Inc., CBS, Atlantic Records, the Band, Band Management Company, Buena Vista Home Entertainment, their corporate parents, affiliated entities, subsidiaries, advertising agencies, any and all sponsors, and their respective employees, shall have no liability whatsoever of any kind in connection with the acceptance, receipt, ownership or use of any of the prizes awarded herein.
