OFFICIAL SWEEPSTAKES RULES

1. No Purchase Necessary.

2. To enter: "MTV2�s Backpacks and Backstage with Weezer Competition" (the "Sweepstakes") will be posted on mtv2.com (the "Web Site"), a web site owned and controlled by the MTV Networks, a division of Viacom International Inc. ("MTVN"), starting at 6:00 a.m. (EST) on July 22, 2002 and ending at 6:00 a.m. (EST) on July 29, 2002. Participants must complete all required fields on the Sweepstakes entry form and return such entry form as directed (collectively, the "Eligible Entries") to be entered into a random drawing.

3. You may enter one time per day per person, but may win only one prize. If an entrant uses multiple email addresses to submit more than one entry for a given day, only the first online entry for that day will count. No responsibility is assumed for incorrect or inaccurate entry information whether caused by a participant or by any of the equipment or programming associated with or utilized in this Sweepstakes or by any human error which may occur in the processing of the entries to this Sweepstakes. MTVN is not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, failure of email or media on account of technical problems or traffic congestion on the internet or at any web site or combination thereof, including injury or damage to participants or to any other person�s computer related to or resulting from participating or downloading materials in this Sweepstakes. If, for any reason, the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of MTVN, including cancellation of the concert portion of the Grand Prize, which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, MTVN reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes due to any reason of a technical, creative or other nature in MTVN�s sole discretion. Entries that have been tampered with or altered are void. In the event of a dispute over who submitted a winning entry online, the holder of the winning email account will be declared the winner. By participating in this Sweepstakes, entrants acknowledge compliance with these official rules.

4. Sweepstakes commences at 6:00 a.m. (EST) on July 22, 2002 and ends at 6:00 a.m. (EST) on July 29, 2002. All entries must be received by 6:00 a.m. (EST) on July 29, 2002

5. One (1) grand prize package (the "Grand Prize Package") will be awarded. The grand prize winner (the "Grand Prize Winner") will be chosen at random, from among all of the Eligible Entries received on or about July 29, 2002. If any potential Grand Prize Winner is unreachable during the 24 hours in which he or she is called (a minimum of 3 attempts will be made and no messages will be left on answering machines) or is unavailable for the prize fulfillment during the dates and times specified by MTVN or does not comply with the Sweepstakes rules and regulations, such potential Grand Prize Winner will be disqualified as a Grand Prize Winner of the "MTV2�s Backpacks and Backstage with Weezer Competiton" and all privileges as a Grand Prize Winner will immediately be terminated. An alternate winner may be selected instead from among all of the remaining Eligible Entries.

6. Odds of winning will be determined by the total number of Eligible Entries received.

7. The concept of this Sweepstakes and the prize to be awarded include one (1) Grand Prize Package, as follows:

Grand Prize Package:

Roundtrip air transportation for the Grand Prize Winner and one (1) guest from an airport near Grand Prize Winner's residence of MTVN's choice to concert location of MTVN's choosing (or determined by MTVN.) In the event that the Grand Prize Winner resides within 150 miles of the concert location, MTVN reserves the right to substitute air transportation with ground transportation.>
Three (3) nights hotel accommodations for Grand Prize Winner and one (1) guest (one room, based on double occupancy, room and tax charges only; meals, telephone calls and other incidentals not included.)
Roundtrip ground transportation from airport to hotel. Ground transportation to be determined in MTVN's sole discretion.
$1,000 on a Visa Stored Value Card, one (1) card to be issued to Grand Prize Winner and to be used by Grand Prize Winner only.
Two (2) MTV2 'Festival Survival Packs.'
Two (2) Tickets the Leeds Festival.

The tentative dates for grand prize fulfillment are between August 22, 2002 and August 26, 2002 and are subject to change at MTVN�s sole discretion.

The Grand Prize Package has no cash equivalent and may not be redeemed for cash. The estimated retail value of the Grand Prize Package is $4,900.

8. By participating in this Sweepstakes, entrants agree to be bound by these rules and by the decisions of the judges, which are final in all matters relating to this Sweepstakes.

9. Arrangements for the fulfillment of the Grand Prize Package will be made by MTVN. MTVN reserves the right in its sole discretion to substitute any and all prizes with prizes of comparable value; all prizes are non-transferable. The potential Grand Prize Winner must sign (i) an affidavit of eligibility and release of MTVN, Viacom International, Inc., CBS, Visa USA Incorporated, and their corporate parents, subsidiaries, affiliated entities, advertising agencies, and any participating sponsors, and their respective employees, from any and all liability, claims, demands, and causes of action for personal injury and/or damage, theft, loss, or any other harm suffered in connection with this Sweepstakes or the use or acceptance of the Grand Prize Package or any portion thereof to be eligible for the Grand Prize Package; and (ii) except where prohibited, a promotional release granting the right to use his or her name and likeness for advertising and publicity purposes without additional compensation. Entry into this Sweepstakes constitutes the Winner's his/her guest's agreement to sign such releases. The Grand Prize Winner must complete all legal documents and return them to MTVN within five (5) days after receipt of such documents. Noncompliance may result in disqualification. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT MTVN's SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS A PRIZE WINNER OF THE "MTV2's BACKPACKS AND BACKSTAGE WITH THE STROKES COMPETITION" AND ALL PRIVILEGES AS A GRAND PRIZE WINNER WILL BE IMMEDIATELY TERMINATED.

10. The value of the prizes may be taxable as income. Upon receipt of the Grand Prize Package, the Grand Prize Winner will be required to comply with any and all applicable federal, state and local laws, rules and regulations. The Grand Prize Winner is solely responsible for all matters relating to the Grand Prize, including, but not limited to all applicable federal, state and local taxes that become due with respect to the Grand Prize Package.

11. Sweepstakes is open to residing citizens of the continental U.S. at least 18 years of age at time of entry and who have an active online account on or before July 21, 2002. All guests must be at least 18 years of age at the time of prize fulfillment. The potential Grand Prize Winner is expected to show proof of a valid U.S. driver�s license and valid U.S. passport in order to accept the Grand Prize Package. Sweepstakes is not open to employees and/or their immediate families of MTV Networks, Viacom International Inc., CBS, Visa USA Incorporated, affiliated companies, subsidiaries, advertising agencies, any and all sponsors, or any person who has won an MTVN National Sweepstakes or Contest in the 2002 calendar year. The Grand Prize Winner is subject to proving eligibility. VOID IN ALASKA AND HAWAII AND WHEREVER PROHIBITED OR RESTRICTED BY LAW. All entries become the property of MTVN.

12. All interpretations of the rules and decisions by MTVN are final. MTVN reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the game or web site; to be acting in violation of the Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE GAME IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, MTVN RESERVES THE RIGHT IN ITS SOLE DISCRETION TO SEEK DAMAGES FROM ANY SUCH PARTICIPANT/INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE CONTEST AND THE LAWS OF THE STATE OF NEW YORK SHALL GOVERN THE CONTEST. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THOSE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS.

14. The Grand Prize Winner, by acceptance of the Grand Prize Package, agrees that MTVN, Viacom International Inc., CBS, Visa USA Incorporated, their corporate parents, affiliated entities, subsidiaries, advertising agencies, and any and all sponsors, and their respective employees, shall have no liability whatsoever of any kind in connection with the acceptance, receipt, ownership or use of any of the prizes awarded herein.
