TERMS AND CONDITIONS
MTV's Made Casting Call


1. Casting Call: MTV's Made Casting Call is an online audition ("Audition") for the opportunity to be selected as a participant on Made ("Participant"), a documentary style show produced by MTV Networks, a division of Viacom International Inc. ("MTVN"), wherein MTVN assists individuals in achieving their personal goals. MTVN is looking for individuals with specific, original goals that: (i) they are passionate about achieving; (ii) need assistance in order to be able to achieve; and (iii) can be achieved within the next few months.

2. Eligibility: You must be legal residents of, and living in, the 50 continental United States and District of Columbia and be at least 15 years of age at time of entry. If you are a minor in the jurisdiction in which you reside, you must obtain parental or legal guardian consent to be eligible to Audition. You cannot participate in the Audition if you have an immediate family member [parent, spouse, children, siblings, step-children and step siblings] employed by MTVN and its affiliated companies, sponsors, subsidiaries and advertising agencies.

3. How to Audition: Visit made.mtv.com (the "Web Site") beginning on or about September 1, 2007 and follow the online instructions to opt in to Audition and upload an original video in an easily recognizable video format that features you speaking to the camera and answering the questions provided on the posted Made Questionnaire Form (the "Submission Material" or "Submission Materials"), and then submit the Submission Material as instructed. You must also electronically acknowledge and agree to the terms of MTVN's Privacy Policy and Terms of Use and User Content Submission Agreement. Submission Materials must be completely original and must not have been taken or composed, in whole or in part, from any other source and must not have been released commercially. Submission Materials which contains materials that are not the original work of the entrant, or are illegible or incomplete will not be accepted. Limit one (1) entry per person.

Submission Materials shall not contain, include or involve any of the following:

* Obscenity
* Crude, vulgar or offensive pictures, depictions, images, language and/or symbols
* Gang signs or symbols
* Gratuitous violence, gun or other imagery or gestures of weapons.
* Nudity
* Explicit, graphic or excessive sexual activity
* Commercial products (e.g., clothing, toys, food) and/or their trademarks, brands, logos or endorsements
* Hard liquor use or product images
* License plates, phone numbers, personal addresses - physical or email or otherwise
* Website or web page links
* Illegal drug or alcohol use or abuse
* Derogatory characterizations of any ethnic, racial, sexual or religious groups, humiliate other people (publicly or otherwise), any assault or threatening of others
* Trespass or the violation of other people's rights or property
* Illegal (e.g., discriminatory, harassing) or inappropriate activity, behavior or conduct (e.g., inflicting emotional distress)
* Any other content, display, materials and/or images that is or could be considered inappropriate, unsuitable or offensive, as determined by MTVN, in its sole discretion

MTVN reserves the right to reject any Submission Materials that it deems, in its sole discretion, to violate any of the policies of MTVN's "Standards and Practices Guidelines."

MTVN (and any and all of MTVN's subsidiaries and affiliates and affiliated broadcast stations and networks) shall have the right to use any Submission Materials submitted pursuant to the Audition on the Web Site, or any other MTVN web site, and in or on any other program, programming channel, broadcast or other public display and performance, at any time in the future, without notice and without compensation, royalty, accounting, liability or obligation of any kind to any entrant.

The Submission Materials will be reviewed by producers and employees of MTVN (the "Producers").The terms Producers and MTVN are used interchangeably throughout these Terms and Conditions. The Submission Materials will be reviewed and selected based on the casting criteria set forth below. The Producers reserve the right not to select any Participants from the casting call entrant's herein if, in their sole discretion, the entrant did not meet the minimum qualification standards based on the casting criteria specified herein. All Submission Materials become the property of MTVN and will not be acknowledged or returned.

4. Casting Criteria: The Producers are looking for individuals with specific, original goals that: (i) they are passionate about achieving; (ii) need assistance in order to be able to achieve; and (iii) can be achieved within the next few months. The final determination of the Participants and the application of the casting criteria shall be in the sole and absolute discretion of the Producers.

5. The Remaining Selection Process: Selecting Participants is an important process and begins with the evaluation of Submission Materials. After Producers review the Submission Materials and select entrants based on the casting criteria specified above, they will then contact those select entrants by phone to learn more about the entrant, their goal, their commitment to achieving their goal and what it would take to work with the individual and/or their school and community to assist them in achieving their goal during the next 3 to 5 month period. At this point, the entrant may be asked to prove eligibility, including, without limitation, proof of age and residence.

Part of this selection process may involve Producers going to entrant's home town and taping a preliminary video(s) of entrant, their family and other community members that are integral to entrant in entrant achieving goal ("Video Material") at which time entrant would be required to sign (or, if a minor, their parent/legal guardian must sign) a standard MTVN guest/performer release. Based on all of this information, Producers will then decide the final Participant(s).

MTVN shall be the exclusive owner of the copyright and other rights in and to the Video Material and MTVN, its subsidiaries, affiliates, affiliated broadcast stations and networks and licensees will be able to use the Video Material forever and throughout the world, and to license others to use it, in any manner MTVN wishes and in any and all media now known or hereafter discovered or developed without notice, including for advertising, promotion and publicizing any of their products or services, such use may include portions and excerpts, in addition to cut-in, synchronized, dubbed and superimposed versions of the Video Materials, without any compensation, royalty, payment, liability or obligation to any entrant or any third party. MTVN is under no obligation to broadcast or otherwise exploit the Video Material.

6. Participant Notification: The Producers will contact the Participant(s) directly following Participant's selection. If a potential Participant cannot be reached within seven (7) days, the potential Participant may be disqualified and, an alternative Participant may be selected from the remaining entrants.

7. Participant Verification: The potential Participant must sign within five (5) days of receipt of such documents from MTVN an MTVN guest/performance release and any and all documents necessary confirming Participant's consent to MTVN arranging a psychological evaluation of Participant, and, depending on the Participant's goal, medical testing as well. The Participant must also complete any additional legal documents provided by MTVN (or third party on its behalf, if applicable) with respect to the Audition and return them as instructed within the time frame specified by MTVN or Participant may be disqualified at MTVN's sole discretion.

8. General Terms: Noncompliance with any of these Terms and Conditions may result in disqualification. ANY VIOLATION OF THESE TERMS AND CONDITIONS BY AN ENTRANT OR ANY BEHAVIOR BY AN ENTRANT THAT WILL BRING SUCH ENTRANT OR MTVN INTO DISREPUTE (IN MTVN'S SOLE DISCRETION) WILL RESULT IN SUCH ENTRANT'S DISQUALIFICATION FROM AUDITION. MTVN assumes no responsibility for incorrect or inaccurate entry information whether caused by any of the equipment or programming associated with or utilized in this Audition or by any human error which may occur in the processing of the entries in this Audition. MTVN is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or players on account of technical problems or traffic congestion on the Internet or at any web site, or any combination thereof, including, without limitation, any injury or damage to entrant's or any other person's computer related to or resulting from participation or downloading any materials relating to the Audition.
