All entries for consideration as the grand prize winner (the "Grand Prize Winner") must be received by Noon (EST) on June 28, 2005. 3. To Enter: Log onto "Inferno II/The After Show" on MTV.com (the "Web Site"), a Web Site owned and controlled by MTV Networks, a division of Viacom International Inc. ("MTVN"). The Contest will be posted on the Web Site starting at or around 10:30PM (EST) on March 7, 2005. You may enter by going on the Web Site to the "Dell Sweeps" link. At your option, you may also enter by answering the weekly Poll question on the Web Site associated with the then current episode of "Inferno II/The After Show." Entrants must completely fill out all required data fields on the registration form.

You may enter as many times as you wish, but you will only be eligible to receive one Weekly Prize and one Grand Prize. Entries submitted in accordance with these official rules ("Official Rules") shall be collectively referred to herein as the "Eligible Entries." Limit one prize per person or household. All entries become the property of MTVN and will not be returned.

4. Winner Selection: One (1) Grand Prize Winner and sixteen (16) Weekly Winners from among all of the Eligible Entries received by the times/dates specified above will be chosen in seventeen (17) random drawings on or around July 6, 2005, which date is subject to change at MTVN's and Dell's sole and unequivocal discretion. Weekly Winners and all Eligible Entries therefor are eligible for the Grand Prize drawing. The odds of winning a prize will be determined by the total number of Eligible Entries received.

During the one (1) week period following the drawing, a representative from MTVN, or an authorized agent on its behalf, will attempt to reach each potential Weekly Winner and the Grand Prize Winner via e-mail at the e-mail address(es) provided on the entry from. If any Weekly Winner or Grand Prize Winner is unreachable by such e-mail address(es), has not responded within two (2) weeks after being notified by e-mail or does not comply with these Official Rules, such potential Weekly Winner or Grand Prize Winner will be disqualified and an alternate winner may be selected in a random drawing from all remaining Eligible Entries in MTVN's sole and unequivocal discretion. MTVN and Dell, in their sole and unequivocal discretion, expressly reserve the right to delay the announcement of any Weekly Winner or the Grand Prize Winner.

Each Weekly Winner and the Grand Prize Winner (the "Winner(s)") must prove eligibility, including verification of age and proof of residence within two (2) weeks of actual notification. In the event of non-compliance by any potential Winner, such potential Winner shall be disqualified from the Contest and all rights associated with being such a Winner shall be terminated and an alternate winner may be selected in a random drawing from among all of the remaining Eligible Entries received in MTVN's sole and unequivocal discretion. Each Winner, as a condition of receiving a prize, must sign (i) an affidavit of eligibility and liability release and release MTVN, Viacom International Inc., CBS Broadcasting Inc. ("CBS"), the sponsor, Dell, any additional or substitute sponsors (individually and collectively, including with respect to Dell, hereinafter referred to as the "Sponsor(s)") and their respective corporate parents, subsidiaries, affiliated entities, advertising agencies and employees, from any and all liability, claims, demands, and causes of action for personal injury and/or damage, theft, loss, or any other harm suffered in connection with this Contest or the use or acceptance of the Weekly Prize or the Grand Prize and (ii) except where prohibited, a promotional release granting the right to use his or her name and likeness for advertising and publicity purposes without additional compensation. Entry into this Contest constitutes each Winner's agreement to sign each of the foregoing documents and each Winner must complete each, as well as any additional legal documents provided by MTVN with respect to the Weekly Prize or Grand Prize, and return each to MTVN within two (2) weeks after its receipt. Noncompliance may result in disqualification. Grand Prize (1): Grand Prize Winner will receive: one (1) Dell Inspiron 700m laptop (the "Grand Prize"). The total approximate retail value (the "ARV") of the Grand Prize is $1299. The ARV for the Grand Prize is subject to change based on current market conditions at time of the prize fulfillment. The tentative date for fulfillment of the Grand Prize is July 6, 2005.

Weekly Prizes (16): Each Weekly Winner will receive one (1) Dell Pocket DJ (each a "Weekly Prize"). The total approximate retail value (the "ARV") of each Weekly Prize is $199. The ARV for the Weekly Prize is subject to change based on current market conditions at time of the prize fulfillment. The tentative dates for fulfillment of the Weekly Prizes is July 6, 2005.

Total ARV of all prizes is $4499.

6. Eligibility: Contest is open to legal residents of the United States who are at least 16 years of age at time of entry. VOID WHEREVER PROHIBITED OR RESTRICTED BY LAW. Eligibility will be determined by MTVN in its sole and unequivocal discretion. Employees of MTVN, Viacom International, Inc., CBS Broadcasting Inc.CBS, the sponsor, Dell, any additional or substitute sponsors (individually and collectively, including with respect to Dell, hereinafter referred to as the "Sponsor(s)"), and each of their respective affiliated companies, subsidiaries, advertising agencies (and the immediate families of each) or any person who has won an MTVN National Sweepstakes or Contest in the 2005 calendar year are not eligible to participate in this Contest. By participating in this Contest, entrants agree to be bound by these Official Rules and acknowledge compliance with these Official Rules. All interpretations of these Official Rules and the decisions of MTVN relating to this Contest are final in all matters.

No responsibility is assumed for incorrect or inaccurate entry information whether caused by a participant or by any of the equipment or programming associated with or utilized in this Contest or by any human error which may occur in the processing of entries to this Contest. MTVN, Viacom International Inc, CBS and Sponsor(s) are not responsible for any problems or technical malfunctions of any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, failure of e-mail or media players on account of technical problems or traffic congestion on the Internet or at any web site or combination thereof, including injury or damage to participants or to any other person's computer related to or resulting from participating or downloading materials in this Contest. If, for any reason, the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of MTVN and/or Dell which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest or for any reason MTVN and/or Dell deem it necessary, including, but not limited to, change of date or cancellation of the Contest, MTVN and Dell reserve the right in their sole and unequivocal discretion to cancel, terminate, modify, delay or suspend the Contest and/or prize(s). In such event, MTVN may then award the prize(s) in a random drawing from among all remaining Eligible Entries received prior to cancellation, termination, modification or suspension of the Contest. Submissions and/or entries that have been tampered with or altered are void. In the event of a dispute over who submitted a winning entry online, the authorized account holder of the winning e-mail account will be declared the winner. No substitution, transfer of a Weekly Prize or the Grand Prize (or any portion thereof) or cash alternative permitted, except by MTVN, which reserves the right in its sole and unequivocal discretion to substitute any and all prizes with prizes of comparable value, in the event of unavailability, or for any other reason that MTVN and Dell deem it necessary. All prizes are non-transferable. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WEEKLY WINNER OR THE GRAND PRIZE WINNER (AT MTVN'S SOLE AND UNEQUIVOCAL DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS A WINNER OF THE "INFERNO II/THE AFTER SHOW SWEEPSTAKES" AND ALL PRIVILEGES AS A WINNER WILL BE IMMEDIATELY TERMINATED. Upon receipt of any part of the prize, prize recipients are required to comply with any and all applicable federal, state and local laws, rules and regulations. The value of each Weekly Prize and the Grand Prize may be taxable as income and each Weekly Winner and the Grand Prize Winner shall be solely responsible for all matters relating to its Weekly Prize or Grand Prize, including, but not limited to all applicable federal, state and local taxes that become due with respect thereto, including, if applicable, the completion of a Form W-9.
