MTV.com's "Fantasy Music Tycoon Game" (Season Four) Sponsored by Square Enix Official Rules

NO PURCHASE NECESSARY

1. Game Period: The "Fantasy Music Tycoon Game" (Season Four) Sponsored by Square Enix (the "Game") will be posted on MTV.com, a website owned and controlled by MTV Networks, a division of Viacom International Inc. ("MTV") starting at or around 11:00 a.m. (ET) on February 9, 2004 and ending at 10:00 p.m. (ET) on April 10, 2004 (the "Game Period").

2. The Concept: "Players" will compete to earn points based on creating and "managing" their own virtual band roster. Players "acquire" bands who are most likely to earn the greatest number of points based on how they succeed in real-life events and based on actual statistics (e.g. album sales, chart rankings, news headlines (see Rule #5). Bonus points will also be awarded to Players who correctly identify answers to clues which will be revealed weekly in MTV programming. The Player who earns the most points over the course of the Game will be deemed the "Grand Prize Winner". Prizes will also be awarded each week to the Players with the highest weekly scores.

3. Registration / Selecting Your Initial Team: Players may register for the Game beginning at or around 11:00 a.m. (ET) on February 9, 2004. Players must be registered users of MTV.com and must complete all of the required fields of "The Fantasy Music Tycoon Game" Registration Form at MTV.com (the "Eligible Entries"). Players will not be allowed to register during Frozen Periods (see Rule #5). During Registration, Players will be prompted to select an initial group of at least five (5) bands and a maximum of eight (8) bands (each a "Band") for their roster (the "Roster(s) "). Players will be able to choose from at least 140 bands from the "All Bands in Game" list throughout the Game Period. Players who did not register for the game at the beginning may join by creating a Roster at any time prior to the final Frozen Period.

Limit one (1) Roster per person and/or email address. The registration process requires that Players provide personal information (including name, address and phone number for prize fulfillment purposes and in order to be contacted from time to time with news and updates related to the Game).

All registered users of MTV.com are bound by MTV.com's Terms of Use. MTV.com reserves the right to terminate the accounts of members who are believed, in MTV's sole discretion, to be in violation of these Official Rules or the Terms of Use, thus disqualifying Players from participation in the Fantasy Music Tycoon Game.

4. Updating Rosters: During the course of the Game, a Player may change his/her Roster by adding and dropping Bands. Players must have at least (5) five Bands on their Rosters at all times. A Player can add up to (8) eight Bands to their Roster for any given week. A Player with less than (5) five Bands on his/her Roster at the Frozen Period will not be eligible to score points. An add is accomplished when a Player adds one Band to their Roster who is not already on their Roster (the "Add(s)"). A drop is accomplished when a Player drops one Band to their Roster who is on their Roster (the "Drop(s)"). An Add or Drop may be made at any time excluding Frozen Periods (see Rule #5). During the period of time between February 9, 2004 and the first Frozen Period on February 17, 2004 Players will have unlimited Drops and unlimited Adds. After the first Frozen Period ends on or about 5:00 p.m. (ET) on February 19, 2004, Players will be given six (6) Drops. For each of the remaining Frozen Periods after the first Frozen Period, Players will be given two (2) additional Drops. For the period starting on February 17, 2004 and ending on April 8, 2004, every time a Player drops a band from his/her Roster, he/she will lose a Drop from his/her account. If a Player has no Drops in his/her account then he/she will not be permitted to drop a Band.

Note: A Player will only receive points for a given Band during the time that the Band is on such Player's Roster. Points will not be awarded retroactively. Incomplete Adds or Drops are void. Players will know that an Add was successful when, after selection, Band appears on his/her Roster. A Player will know that a Drop was successful when, after deletion, Band does not appear on his/her Roster

5. Frozen Team Roster Period: During the Game Period, Tuesday is considered "game day" ("Game Day") Players must have executed all of their Adds/Drops by 10:00 p.m. (ET) on Game Day. Rosters will be frozen from 10:00 p.m. (ET) on Tuesdays through approximately 5:00 p.m. (ET) on Thursdays during the Game Period (the "Frozen Period(s)"). During a Frozen Period, Players will not be allowed to make any Adds/Drops on their Rosters.

6. Earning Points / Scoring: During the Game Period, Players will earn points when Bands on their Roster accomplish certain activities as outlined below. Each time a Band receives points, all Players who have such Band on their Roster (prior to the applicable Frozen Period) will earn a specified number of points. The goal of the Game is for a Player to earn as many points on his/her Roster as possible on a cumulative basis.

The point system and categories are as follows:

Scoring Periods:

Scoring periods in the game run from 12:00 a.m. (ET) on each Wednesday to 11:59 p.m. (ET) on each Tuesday (the "Scoring Period", and include all Band scoring activity that was reported since the previous Scoring Period. Results for each scoring category are reported on a schedule determined by the availability of data to MTV.com. Results for MTV countdown programs (TRL, Direct Effect, All Things Rock, MTV2 Hip-Hop, MTV2 Rock) are tabulated between 12:00 a.m. (ET) on Monday and 11:59 p.m. (ET) on Sunday and reported before 11:59 p.m. (ET) on the following Monday. Results for Buzzworthy, Handpicked, MTV Playlist, MTV2 Playlist, Headbangers Ball Playlist, MTV2 Playlist, Viewerıs Pick Voting, Video Clash, and Control Freak are released on the same schedule. MTV.com web server data (used to calculate Top 100 Bands A-Z, Added to Favorites, and News Headlines scores) are tabulated between 12:00 a.m. (ET) Monday and 11:59 p.m. (ET) Sunday and reported before 11:59 p.m. (ET) on the following Wednesday. Results of the Billboard Top 200 Albums Chart are typically released by Billboard on Wednesday. Results for the previous week will be available in the Game website during the Frozen Period.

When the dates of the reporting period that govern a scoring category do not align exactly with the dates of a Scoring Period, the results are included in the Scoring Period in which the data was reported.

For example: the TRL Top 10 Videos for 2/9-2/13 would be scored as part of the Scoring Period of 2/11 - 2/17, since the TRL Top 10 results are tabulated on 2/13. Similarly, the Top 100 Bands A-Z for the week of 2/9-2/13 would be scored as part of the Scoring Period 2/18-2/24 since the Top 100 Bands A-Z report for 2/9-2/13 is released on Wednesday 2/18.

Band Scoring:

The following is a description of the scoring categories that are used to evaluate a Band's performance in a given Scoring Period.

Video Scoring within MTV Programming

MTV Playlist Score
MTV Playlist Guest Score
A Band is awarded 50 points for each of its videos on the MTV Playlist during the week indicated. A Band is awarded 25 points for each video on the MTV Playlist in which the band is listed as a guest.

For example: In the week of 10/11-10/18 Carlos Santana (feat. Michelle Branch) "Game of Love" is on the MTV Playlist. Santana is awarded 50 points as the primary artist and Michelle Branch is awarded 25 points as a guest for this video.

MTV2 Playlist Score
MTV2 Playlist Guest Score
A Band is awarded 50 points for each of its videos on the MTV2 Playlist during the week indicated. A Band is awarded 25 points for each video on the MTV2 Playlist in which the band is listed as a guest.

MTV Hits Score
A Band is awarded 15 points for each of its videos on the MTV Hits Playlist during the week indicated.

MTV2 Subterranean Playlist Score
A Band is awarded 15 points for each of its videos on the MTV2 Subterranean Playlist during the week indicated.

MTV2 Headbangers Ball Score
A Band is awarded 15 points for each of its videos on the MTV2 Headbangers Ball Playlist during the week indicated.

Buzzworthy Selection Score
A Band is awarded 100 points for each time its selected as Buzzworthy. The points are awarded only for the first week that the band is Buzzworthy. So a maximum of 100 points per video selected Buzzworthy.

Handpicked Selection Score
A Band is awarded 100 points for each time its selected as Handpicked. The points are awarded only for the first week that the band is Handpicked. So a maximum of 100 points per video selected Handpicked.

TRL Score
A Band's TRL Score is the sum of two values, TRL Rank Score and TRL Rank Change Score, which are derived from the performance of the Band's video on the TRL Top 10 Chart for the previous week.

TRL Rank Score
A Band is awarded 5 points for every rank above 10 that its video holds in the most recent TRL Top 10 Chart. The video in the number 10 position is awarded the lowest score, 5 points. The video in the number 1 position is awarded the highest score, 50 points. The TRL Rank Score is calculated as follows:

TRL Rank Change Score
A Band is awarded (or penalized) 5 points for every rank of difference between its video's position in the most recent TRL Top 10 Chart, and its position in the previous week's chart (displayed as "Last Week" in the TRL Top 10 Chart).

Videos that debut in the current chart are assigned a previous week rank of 11. Videos that appeared in the previous week's TRL Top 10 Chart but not in the current chart are assigned a current rank of 11. If a new video were to debut in the most recent TRL Top 10 Chart at number 1, it would be awarded the highest score, 50 points. If a video were number one in the previous week TRL Top 10 Chart but did not appear in the most recent chart, that video would incur the maximum penalty, -50 points.

The TRL Rank Change Score is calculated as follows:

Direct Effect Score
A Band's Direct Effect Score is the sum of two values, Direct Effect Rank Score and Direct Effect Rank Change Score, which are derived from the performance of the Band's video on the Direct Effect Chart for the previous week. Direct Effect Rank Score
A Band is awarded 5 points for every rank above 5 that its video holds in the most recent Direct Effect Chart. The video in the number 5 position is awarded the lowest score, 5 points. The video in the number 1 position is awarded the highest score, 25 points.

The Direct Effect Rank Score is calculated as follows:

Direct Effect Rank Change Score
A Band is awarded (or penalized) 5 points for every rank of difference between its video's position in the most recent Direct Effect Chart, and its position in the previous week's chart (displayed as "Last Week" in the Direct Effect Chart).

Videos that debut in the current Direct Effect Chart are assigned a previous week rank of 6. Videos that appeared in the previous week's Direct Effect Chart but not in the current chart are assigned a current rank of 6.

If a new video were to debut in the most recent Direct Effect Chart at number 1, it would be awarded the highest score, 25 points. If a video were number one in the previous week Direct Effect Chart but did not appear in the most recent Direct Effect Chart, that video would incur the maximum penalty, -25 points.

A Band is awarded 5 points for every rank above 5 that its video holds in the most recent All Things Rock Chart. The video in the number 5 position is awarded the lowest score, 5 points. The video in the number 1 position is awarded the highest score, 25 points.

The All Things Rock Rank Score is calculated as follows:

All Things Rock Rank Change Score
A Band is awarded (or penalized) 5 points for every rank of difference between its video's position in the most recent All Things Rock Chart, and its position in the previous week's chart (displayed as "Last Week" in the All Things Rock Chart).

Videos that debut in the current All Things Rock Chart are assigned a previous week rank of 6. Videos that appeared in the previous week's All Things Rock Chart but not in the current chart are assigned a current rank of 6.

If a new video were to debut in the most recent All Things Rock Chart at number 1, that video would be awarded the highest score, 25 points. If a video were number one in the previous week All Things Rock Chart but did not appear in the most recent All Things Rock Chart, that video would incur the maximum penalty, -25 points.

The All Things Rock Rank Change Score is calculated as follows:

A Band is awarded 2 points for every rank above 20 that its video holds in the most recent MTV2 Hip-Hop Chart. The video in the number 20 position is awarded the lowest score, 2 points. The video in the number 1 position is awarded the highest score, 40 points.

A Band's Top 100 Bands A-Z Score is the sum of two values, Top 100 Bands A-Z Rank Score and Top 100 Bands A-Z Rank Change Score.

Top 100 Bands A-Z Rank Score

A Band is awarded 4 points for every rank above 100 that its Bands A-Z page holds in the most recent Top 100 Bands A-Z Chart. The Bands A-Z page in the number 100 position is awarded the lowest score, 4 points. The Bands A-Z page in the number 1 position is awarded the highest score, 400 points.

The Top 100 Bands A-Z Rank Score is calculated as follows:

[101 - (most recent Top 100 Bands A-Z Rank)] x 4 Points.

Top 100 Bands A-Z Rank Change Score

A Band is awarded (or penalized) 2 points for every rank of difference between its Bands A-Z page's position in the most recent Top 100 Bands A-Z Chart, and its position in the previous week's chart.

Bands that debut in the current chart are assigned a previous week rank of 101. Bands that appeared in the previous week's Top 100 Bands A-Z Chart but not in the current chart are assigned a current rank of 101.

If a new Band were to debut in the most recent Top 100 Bands A-Z Chart at number 1, that Band would be awarded the highest score, 200 points. If a Band were number one in the previous week's Top 100 Bands A-Z Chart but did not appear in the most recent Top 100 Bands A-Z Chart, that Band would incur the maximum penalty, -200 points.

The Top 100 Bands A-Z Rank Change Score is calculated as follows:

Favorite Bands

Bands are awarded points based on the number of MTV.com Members that add the Band to their favorites in their MTV.com Member Profiles (as measured in the MTV.com Member Profiles database) in the Scoring Period.

For every 10 MTV.com Members that add a Band to their favorites in their MTV.com Member Profiles, the Band is awarded 1 point. If 1 to 10 members add the Band to their favorites, the Band gets 1 point, 2 points if 11-20 members add the Band and so forth.

For example, in the period 10/01 - 10/08, 1,826 MTV.com Members added Avril Lavigne to their Favorite Bands. Avril Lavigne's Favorite Bands score for the Scoring Period of 10/01-10/08 would thus be 183.

The Favorite Bands Score is calculated as follows:

[(number of members who added band to favorites)/10] rounded up to the next integer.

MTV News Headlines Score
A Band is awarded 20 points for every headline published during the scoring period in the News area of MTV.com that is displayed in the News Archive for that Band. Please note: Updates to existing stories may not be counted as new publishes.

Album Scoring Billboard Top 200 Albums (Album 1) Score
Billboard Top 200 Albums (Album 2) Score
Bands are awarded points for their albums' rank in the Billboard Top 200 Albums Chart. For scoring purposes, only two of a Band's albums are counted. If a Band has more than two albums on the Billboard Top 200 Albums Chart, only the two most recent Albums are counted.

A Band's Billboard Top 200 Albums Score is the sum of two values, Billboard Top 200 Albums Rank Score and Billboard Top 200 Albums Rank Change Score, which are derived from the performance of the band's album on the Billboard Top 200 Albums Chart for the previous week.

Billboard Top 200 Albums Rank Score

A Band is awarded 1 point for every rank above 200 that its album holds in the most recent Billboard Top 200 Albums Chart. The album in the number 200 position is awarded the lowest score, 1 point. The album in the number 1 position is awarded the highest score, 200 points.

Billboard Top 200 Albums Rank Score is calculated as follows:

[201 - (most recent Billboard Top 200 Albums Rank)] x 1 Point.

Billboard Top 200 Albums Rank Change Score

A Band is awarded (or penalized) 1 point for every rank of difference between its album's position in the most recent Billboard Top 200 Albums Chart, and its position in the previous week's chart (displayed as "Last Week" in the Billboard Top 200 Albums Chart).

Albums that debut in the current chart are assigned a previous week rank of 201. Albums that appeared in the previous week's Billboard Top 200 Albums Chart but not in the current chart are assigned a current rank of 201.

If a new album were to debut in the most recent Billboard Top 200 Albums Chart at number 1, that album would be awarded the highest score, 200 points. If an album were number one in the previous week's Billboard Top 200 Albums Chart but did not appear in the most recent Billboard Top 200 Albums Chart, that album would incur the maximum penalty, -200 points.

The Billboard Top 200 Albums Rank Change Score is calculated as follows:

Band Ranking
Each Scoring Period the 150 Bands in the game are ranked based on their weekly score. Rankings are non-exclusive. Bands with the same score will have the same weekly ranking.

Band Price
At the beginning of the game, each Band has one of five starting prices: $50,000,000, $40,000,000, $30,000,000, $20,000,000, $10,000,000.

Each Player uses his starting budget of $150,000,000 to assemble a roster of at least 5 bands.

At the end of each Scoring Period, when Rosters are frozen, each of the bands in the Game is ranked based on how many Rosters have added or dropped that band. For example, the Band added to the most rosters in the preceding scoring period will be ranked "1", the Band dropped by the most rosters in the preceding scoring period will be ranked "150." The amount that each Band's price will rise or fall in a given scoring period is variable, depending on how many Bands will increase in value and how many decrease for that scoring period. No Band will decrease in value by more than $10,000,000 ($1,000,000/week) over the course of the Game, or increase by more than $20,000,000 ($2,000,000/week).

Tie Breaking
In the event of a tie, the Grand Prize Winner will be the Player with the highest total score, and the highest combined value of his/her Roster and cash in hand at the end of the Game. If the Game is still tied, the Grand Prize Winner will be the Player with the highest Total Score, the highest Combined Roster value and the highest weekly score for any single week in the Game. If any Players are still tied, the Grand Prize Winner will be the Player who made the fewest changes to his/her Roster over the course of the Game.

All point scoring, activity classifications and judgment calls are at the sole discretion of MTV and cannot be disputed. MTV decisions will be considered final on all aspects of this Game. MTV reserves the right to change the Point values earned and activities which yield Points at any time. Notice of such changes will be posted on MTV.com. Players will see updated scores for all the Bands in the Game and their updated Score based on the Roster they had at the time of the Frozen Period. Players can visit MTV.com every Thursday during the Game Period to check their scores from the previous week's statistics. The scores will be posted on or about 5:00 p.m. (ET) every Thursday.

7. Prizing: Weekly Prizes: Eight (8) weekly prizes will be awarded (one each week over an eight week period). The exact weekly prize will be announced at the time it is awarded. The weekly prize will have a minimum approximate retail value of $100.00. The prize will be awarded to the Player with the highest weekly score for the Scoring Period (the "Weekly Prize Winner"). In the event of a tie, the prize will be awarded to the Player with the highest score who has the highest combined value of his/her Roster and his cash in his/her account at the end of the Scoring Period.

Grand Prize: One (1) grand prize will be awarded at the end of the Game Period to the Player who has earned the most cumulative points (the "Grand Prize Winner"). In the event of a tie, the Grand Prize Winner will be the Player who has the highest weekly score for any single week during the Game Period. If any Players are still tied, the Grand Prize Winner will be the Player who made the fewest changes to his/her Roster over the course of the Game.

The Grand Prize Package is a trip for two (2) to Los Angeles, CA including: (a) roundtrip coach air transportation from a major airport of MTV's choice near Grand Prize Winner's residence, to Los Angeles, CA; (b) three night hotel accommodations (one room, based on double occupancy, room and tax only. Meals, telephone calls and other incidentals are the sole responsibility of Grand Prize Winner); (c) two (2) 3-Day Exhibit Floor Passes to the 2004 Electronic Entertainment Expo (E3); (d) $5,000.00 spending money for Grand Prize Winner; and (e) a Square Enix electronic gaming prize package;

The Grand Prize Winner will be notified on or around April 10, 2004 at 6:00 pm (ET) by phone. Winner must confirm eligibility within seventy-two hours of being contacted. MTV reserves the right to substitute coach air transportation with ground transportation if Grand Prize Winner lives within 150 miles of Los Angeles, or as otherwise determined by MTV. Parent or legal guardian must accompany any Grand Prize Winner who is under the age of 18 at time of travel. Guest must be at least 18 years of age at time of prize fulfillment unless traveling with parent or legal guardian. The approximate retail value (the "ARV") of the Grand Prize is $15,000.00.

8. Eligibility: Players must be legal residents of the continental United States, at least 13 years of age or older at time of registration. VOID IN ALASKA AND HAWAII AND WHEREVER PROHIBITED OR RESTRICTED BY LAW. Employees (and immediate family members of such employees) of MTV Networks, Viacom International Inc., CBS, Square Enix U.S.A., Inc, and each of their respective affiliates, subsidiaries, licensees, suppliers, distributors and agencies are not eligible to participate or win prizes. If any Weekly Prize Winner or Grand Prize Winner is under the age of 18, prize will be awarded to his/ her parent or legal guardian.

9. General Rules: MTV's Fantasy Music Tycoon Game is a non-gambling Game. This Game was not designed to be used in any way, shape or form for gambling purposes and if anyone attempts to use this Game as such, they will be prosecuted to the fullest extent of the law. By participating, Players acknowledge compliance with these official rules including all eligibility requirements. MTV is not responsible for any problems or technical malfunctions of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any Web site or combination thereof, including injury or damage to participants or to any other person's computer related to or resulting from participating or downloading materials in this Game. If, for any reason, the Game is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of MTV which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Game or for any reason MTV deems it necessary, MTV reserves the right at their sole discretion to cancel, terminate, modify or suspend the Game. Should the Game be terminated prior to the stated expiration date, notice will be posted on MTV.com and the Grand Prize and weekly prizes may be awarded to the Players with the highest cumulative score at the time of termination of the Game. Entries that have been tampered with or altered are void. In the event of a dispute over who is participating in the Game and/or who is a winner, the holder of the email account registered with the Internet provider will be declared the official winner.

The tentative dates for prize fulfillment are May 12-14, 2004 and are subject to change at MTV's sole discretion. Total approximate retail value of this Game is $15,800.00. The actual retail value of this Game depends on current existing market conditions at time of prize fulfillment. Odds of winning will be determined by the total number of points earned by each Player and the total number of Players. By participating in this Game, Players agree to be bound by these rules and by the decisions of Sponsors, which are final in all matters relating to this Game. The specifics of all elements of any prize in the Game shall be solely determined by MTV. Some restrictions may apply. No substitution, transfer of any prize (or any part of a prize package) or cash alternative permitted, except by MTV due to prize unavailability at time of award in which case a prize of equal or greater value will be awarded. Unless specified otherwise by MTV, no cash will be awarded. Arrangements for the fulfillment of all prizes will be made by MTV. Grand Prize Winner and Weekly Prize Winners must sign an affidavit of eligibility and release MTV from any and all liability, claims, demands, and causes of action for personal injury and/or damage, theft, or loss suffered in connection with this Game or the use or acceptance of the prize or any portion thereof to be eligible for the prizes; and (b) where permitted, a promotional release granting the right to use his or her name and likeness for advertising and publicity purposes without additional compensation; entry into this Game constitutes each Weekly Prize Winner's and Grand Prize Winner's agreement to sign such release. All winners must complete all legal documents and return them to MTV within five (5) working days after attempted notification or receipt of such documents. Noncompliance by a winner may result in disqualification of such winner and an alternate winner may be selected. The receipt by any winner of any of the prize components of this Game is conditioned upon such winner's compliance with any and all federal, state and local rules and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER MAY RESULT IN SUCH WINNER'S DISQUALIFICATION AS A WINNER AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED. VOID WHEREVER PROHIBITED OR RESTRICTED BY LAW. All taxes on the prizes as well as any expenses which are not expressly described herein are sole responsibility of the prize recipient. Upon receipt of a prize, prize recipients are required to comply with any and all applicable federal, state and local taxes that become due with respect to his/her prizes. MTV reserves the right in its sole discretion to disqualify any individual it believes to: (a) be tampering with the entry process or the operation of the Game or web site or (b) be acting in violation of the Official Rules or the Terms of Use or (c) have knowledge, prior to publication or public exhibition, of any of the information, data, rankings contained in the Billboard music charts, the MTV on-air and online programming (including but not limited to TRL, Direct Effect, Control Freak, MTV News headlines, Top 100 Bands, or any other program or online feature which influences the scoring of the Game CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE GAME IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, MTV RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
